Terms of Use

These Terms of Use ("Terms") govern access to pulsevertex.pro and general use of information published by Pulse Vertex Pte. Ltd. ("Pulse Vertex", "we", "us"). Separate written agreements govern paid marketing services once engaged. By using this website, you agree to these Terms. If you disagree, do not use the site.

1. About Pulse Vertex

Pulse Vertex Pte. Ltd. (UEN 202529481N) is a performance marketing agency registered in Singapore with its office at 168 Robinson Road, #20-01 Capital Tower, Singapore 068912. We provide strategy, paid media, creative, CRO and analytics services to client brands. We are not a health application, SaaS product sold on subscription, financial adviser or guarantor of commercial outcomes.

2. Website licence

We grant you a limited, non-exclusive, non-transferable licence to access and view site content for personal or internal business evaluation. You may not scrape, mirror, frame, reverse engineer, resell or create derivative works from site content without prior written consent. Trademarks, logos and design elements remain our property or our licensors' property.

3. No professional guarantees

Website content — including service descriptions, blog-style copy, case studies, statistics and testimonials — is informational. Case study metrics reflect past engagements under specific conditions. They are not promises of future return on investment, lead volume, revenue, conversion rate, ranking position or cost per acquisition for your business.

Marketing performance depends on factors including product quality, pricing, market demand, creative execution, budget, platform policies and competition. Any projection in a proposal is illustrative unless explicitly guaranteed in a signed statement of work — and we generally do not offer outcome guarantees.

4. Enquiries and pulse reviews

Submitting our contact form or requesting a pulse review does not create a client relationship or obligation to provide services. We may decline engagements that conflict with capacity, ethics or category restrictions. Complimentary pulse reviews are offered at our discretion and may be limited in scope.

You warrant that information you submit is accurate to the best of your knowledge and that you have authority to share any third-party data you include.

5. Acceptable use

You agree not to:

• Use the site for unlawful purposes or to transmit malware, spam or automated excessive requests
• Attempt unauthorised access to our systems, forms or staff accounts
• Misrepresent affiliation with Pulse Vertex
• Harvest personal data of others from the site without consent
• Submit false enquiries or abuse the honeypot-protected contact form

We may suspend access, block IPs or report abuse to authorities where appropriate.

6. Third-party links and platforms

Our site may link to third-party websites, advertising platforms or tools. We do not control and are not responsible for their content, privacy practices or availability. Your use of Google Ads, Meta, LinkedIn or other platforms in a client engagement is additionally subject to those platforms' terms.

7. Intellectual property in client work

Ownership of creative assets, media plans and reports delivered under a client contract is specified in that contract. Unless otherwise agreed, upon full payment clients receive a licence to use deliverables for their marketing purposes. We may retain anonymised portfolio references with permission.

8. Confidentiality

Information marked confidential or reasonably understood as confidential during pitches or engagements will be protected by both parties. We do not disclose client campaign details publicly without approval.

9. Fees and payment (services)

When you engage us, fees are quoted in Singapore dollars unless stated otherwise. Invoices are due per contract terms — typically net fourteen or net thirty days. Late payment may pause work and incur interest permitted by law. Media spend is billed to client ad accounts or pass-through invoiced as agreed. Detailed payment terms appear in statements of work, not in these website Terms.

10. Limitation of liability

To the fullest extent permitted by Singapore law, Pulse Vertex is not liable for indirect, incidental, special, consequential or punitive damages arising from site use or reliance on website content. Our aggregate liability for claims related to free website use is limited to SGD fifty.

For paid services, liability limits are defined in the governing service agreement. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or any liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify Pulse Vertex against claims arising from your breach of these Terms, misuse of the site or infringement of third-party rights through content or instructions you provide — except to the extent caused by our gross negligence or wilful misconduct.

12. Privacy and cookies

Personal data handling is described in our Privacy Policy. Cookies and similar technologies are described in our Cookie Policy. Using the site constitutes acknowledgement of those policies.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Singapore. The courts of Singapore have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you in another jurisdiction.

14. Changes

We may revise these Terms by posting an updated version with a new "Last updated" date. Continued use after changes constitutes acceptance. Material changes to client service terms require agreement through signed contracts, not silent website updates alone.

15. Severability and entire agreement (website)

If any provision is unenforceable, the remainder stays in effect. For website use, these Terms together with the Privacy and Cookie policies constitute the entire agreement regarding pulsevertex.pro. Client projects are governed by separate signed agreements that prevail on conflict.

17. Termination of website access

We may restrict or terminate access to pulsevertex.pro without notice if we reasonably believe you have violated these Terms, attempted to compromise site security or used automated tools to extract content at scale. Termination of site access does not affect obligations under any separate client contract already in force.

18. Force majeure

Neither party is liable for failure or delay in performing website-related obligations caused by events beyond reasonable control — including natural disasters, widespread internet outages, government actions or platform shutdowns — except payment obligations for services already rendered.

19. Assignment

You may not assign your rights under these website Terms without our written consent. We may assign our rights in connection with a merger, acquisition or sale of assets affecting Pulse Vertex Pte. Ltd., with notice where practicable.

20. Language

These Terms are written in English. If translated for convenience, the English version prevails in case of inconsistency.

21. Waiver

Failure by Pulse Vertex to enforce any provision of these Terms at any time does not constitute a waiver of that provision or our right to enforce it later. Any waiver must be in writing signed by an authorised representative.

22. Survival

Provisions that by their nature should survive termination — including intellectual property limits, disclaimers, limitation of liability, indemnity, governing law and dispute resolution — remain in effect after you stop using the website.
